By accessing and using the Site, you agree to be bound by these terms (the “Terms of Use”) and our Privacy Policy. Relay2 may change the Site at any time, in our sole discretion and without notice. Relay2 may also change the products, services and/or the programs described on the Site at any time, in our sole discretion and without notice. Relay2 reserves any rights not expressly granted here regarding your access to or use of the Site.
Relay2 will consider any feedback, information or materials you submit through or in association with the Site (“Feedback”) to be non-confidential. You hereby agree that Relay2 shall have, at no charge, a non-exclusive, transferable, royalty free, worldwide right and license to copy, use, display, publish, distribute and/or disseminate any Feedback subject to copyrights and other intellectual property rights. Relay2 shall be free to copy, use, display, publish, distribute and/or disseminate such Feedback on an unrestricted basis for any purpose. You acknowledge that you are responsible for the Feedback that you provide, and that you, not Relay2, have full responsibility for the Feedback, including their legality and copyright.
Use of Site Information
The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. You may download, view, copy and print documents and graphics incorporated in these documents (the “Documents”) from the Site, subject to the following: (a) you may use the Documents solely for informational purposes; and (b) you may not alter the Documents in any way. Software License
Your use of any software you download from the Site is governed by the separate license terms accompanying or referenced in that software or download.

Certain sections of, or offerings from, the Site may require you to register. If so, you agree to provide us with accurate, complete registration information using your real name and accurate information and, if registering on behalf of a company or third party entity, the true and correct information identifying such entity. If you register individually, your registration is for your personal use only and not on behalf of any other person or entity; if you register on behalf of a company or third party entity, such registration is for the use of such entity, and in each case only as provided here.
You are responsible for maintaining the confidentiality of any password(s) you are given to access the Site, and are fully responsible for all activities that occur under your password(s). You agree to notify Relay2 immediately of any unauthorized use of your password(s).
Errors, Corrections and Changes
We do not represent or warrant that the Site will be error-free, free of viruses or other harmful components, or that defects will be corrected. We do not represent or warrant that the information available on or through the Site will be correct, accurate, timely or otherwise reliable. We may make changes to the features, functionality or content of the Site at any time, including to edit or delete any documents, information or other content appearing on the Site.
Third Party Websites, Content, Products and Services
The Site may contain links to third party websites and provide access to content, products and services from third parties, including users, advertisers, affiliates and third party sponsors of the Site or by accessing such third party websites. You should refer to the policies posted by third party websites regarding privacy and other topics before you use them. Relay2 is not responsible for third party content accessible through the Site, including by accessing any such third party websites including opinions, advice, statements and advertisements, and you bear all risks associated with the use of such content. If you choose to purchase any products or services from a third party, your relationship is directly with the third party. Relay2 is not responsible for: (a) the quality of third party products or services; and (b) fulfilling any of the terms of your agreement with the third party, including delivery of products or services and warranty obligations related to purchased products or services. You agree that Relay2 is not responsible for any loss or damage of any sort you may incur from dealing with any third party.

Indemnity
You agree to defend, indemnify and hold harmless Relay2, its officers, directors, employees and agents, from and against any and all third party claims, liabilities, damages, losses or expenses, including reasonable attorneys’ fees and costs, to the extent arising out of or in any way connected with your access to or use of the Site.
Export Restrictions/Legal Compliance
You may not access, download, use or export the Site, or the content, software, products or services provided on the Site in violation of U.S. export laws or regulations, or in violation of any other applicable laws or regulations. You agree to comply with all export laws and restrictions and regulations of any United States or foreign agency or authority, and not to directly or indirectly provide or otherwise make available the services and products of Relay2 in violation of any such restrictions, laws or regulations, or without all necessary approvals, including, without limitation, for the development, design, manufacture or production of nuclear, chemical or biological weapons of mass destruction.

Governing Law
These Terms of Use will be governed by and construed in accordance with the laws of the State of California without regard to principles of conflicts of law. You submit to the jurisdiction of the federal or state courts of or located in Santa Clara County, California, with respect to any action or proceeding arising out of or in any way related to these Terms of Use, and you hereby waive any venue or other objection which you may have to any such action or proceeding being brought in the federal or state courts of in Santa Clara County, California.
No failure or delay by us in exercising any right under these Terms of Use will constitute a waiver of that right. If any portion of these Terms of Use is held invalid by a court of competent jurisdiction, then such portion will be deemed to be of no force or effect, and these Terms of Use will be construed as if such portion had not been included. The headings used in these Terms of Use are for convenience of reference only and do not affect the meaning or construction of these Terms of Use.

The names, logo, trademarks, service marks, trade names and other marks (“Marks”) displayed on the Site are the property of Relay2 or other third parties. Users are not permitted to use these Marks without the prior written consent of Relay2 or such third party which may own the Mark. Relay2’s Marks are valuable assets of the company that signify Relay2’s cutting edge, innovative, and high-quality products. The following is a list of Relay2’s Marks in the United States and certain other countries. This list may not necessarily be complete and all-inclusive. The absence of any mark from this list does not mean that it is not a Relay2 mark.

Miscellaneous
The language in these Terms of Use shall be interpreted as to its fair meaning and not strictly for or against any party. Relay2 may assign these Terms of Use and all incorporated agreements and your information Relay2 in its sole discretion to a third party in the event of an acquisition, sale or merger. Should any part of these Terms of Use be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with these Terms of Use, these Terms of Use shall take precedence. Relay2’s failure to enforce any provision of these Terms of Use shall not be deemed a waiver of such provision nor of the right to enforce such provision. Relay2’s rights under these Terms of Use shall survive your use of the Site.

We take your privacy seriously and want to describe here how we use and protect information that we obtain from and about you, both online and off-line.

Relay2’s Data Practices for Visitors to Our Site and Users of Our Products and Services
Information Relay2 Collects For Its Own Purposes
User-Provided Information. When you register and set up an account, use the Products or Services, use or visit the Site, or contact us by e-mail or other means, you may provide or make available to Relay2 what is often referred to as “personally identifiable information” (such as your name, company, email address, postal mailing address, work/mobile telephone number. In this Privacy Policy, we refer to this information as “Personal Information.” In addition, from time to time we may collect job function, contact or other company information you provide in connection with your participation in surveys, sweepstakes, contests, games, promotional offers, and other activities through our Services.
Automatically Collected Information. Some information is also automatically collected when you use our Services, such as your Internet Protocol (IP) address, MAC address, your operating system, your browser type, the address of a referring web site, your location and/or cell or mobile device identifier, and information

The Ways Relay2 Uses and Discloses Information
Relay2 uses Personal Information we collect when we have explicit permission from you to do so (e.g., to assist in the event of a support call) or when the Personal Information is deidentified. Deidentified data is information about you, including Personal Information, but in aggregate form or a form that a third party can no longer reasonably use to identify specifically any individual. Such deidentified data may be based in part on Personal Information about you, but it does not specifically identify you personally (e.g., by your name, etc.). Deidentified data may be collected on any users of our Services, including you. Relay2 may use automatically collected information or Personal Information for a number of reasons related to the Services, including to: (a) remember your information, including for your future use of our Products or Services or visit to the Site; (b) provide customized third-party promotions, advertisements, content, and information; (c) monitor the effectiveness of third-party marketing campaigns; (d) monitor the effectiveness of the Site, our Products and Services, including aggregate usage metrics such as total number of visitors and pages viewed; and (e) track your entries, submissions, transactions and status in any promotions or other activities.

We may link or merge together Personal Information you provide or make available to Relay2 online with other Personal Information so that we may better understand your needs and inform you about our Products or Services and those of our partners or affiliates. In addition, if we receive information from third parties, we may combine this information with the other Personal Information we maintain about you. In either case, this Privacy Policy and our permitted use governs this information.
We may disclose Personal Information in the good faith belief that we are lawfully authorized or required to do so, or that doing so is reasonably necessary or appropriate to comply with the law or with legal process or authorities, respond to any claims, or to protect the rights, property or safety of the Site or the Products,

You agree that Relay2 can export information it has about you, including Personal Information, to any country as Relay2 deems reasonable or operationally necessary, even if that country’s privacy laws may be different from the privacy laws of your country. You also agree that Relay2 can collect, access, use, disclose and transfer your Personal Information to the extent provided in the Privacy Policy.
We may disclose or transfer information about our Users, including your Personal Information, to an acquirer, or successor or assignee as part of any merger, acquisition, debt financing, sale of assets, or similar transaction, as well as in the event of an insolvency, bankruptcy, or receivership in which information is transferred to one or more third parties as one of our business assets.
Choices You Have Regarding The Use Of Your Personal Information
You may, of course, decline to share your Personal Information with Relay2, in which case you should immediately cease using our Products or Services, and Relay2 will not be able to provide to you the features and functionality found in our Site. You may “opt out” of receiving email from us for promotional and marketing purposes by time by emailing us at info@54.197.153.34. Opting out of receiving email sent for promotional and marketing purposes does not limit or affect our ability to send you service and account-related emails or to collect, access, use, disclose or transfer your Personal Information as otherwise described in this Privacy Policy.
To protect your privacy and security, we take reasonable steps to verify your identity before granting you account access or making corrections to your information. You are responsible for monitoring your privacy settings and maintaining the secrecy and security of your account information at all times.
Links To Other Websites
The Site may be linked to internet websites operated by other companies. Some of these websites may be co-branded with our name or logo, even though they are not operated or maintained by us. Relay2 may also permit other service providers, such as sales lead management and tracking services, to utilize information we collect, including your Personal Information. These third-party service providers may use technology to automatically receive your IP address or use technologies such as cookies, JavaScript, or Web Beacons to direct and measure the effectiveness of their services.
You should consult the respective privacy policies of these third-party websites and third party ad servers or ad networks. Relay2’s Privacy Policy does not apply to, and we cannot control the activities of, such other third party advertisers or Web sites. Please be aware that Relay2 does not warn you when you have chosen to link through to another website from the Site.
Relay2’s Data Practices for Its Customers
The following describe Relay2’s data practices that are applicable in instances where Relay2 collects or processes data on behalf of partners, affiliates or other companies or entities that have purchased our Products (our “Customers”).
Data Ownership and Consumer Choice
When Relay2 collects information on behalf of a Customer that information is treated as belonging to the Customer, with Relay2 acting as a service provider or “data processor” to that Customer. The collection, use, and sharing of information Relay2 collects on behalf of its Customers is not subject to the terms of this Privacy Policy and is instead governed by the terms of each Customer’s applicable privacy policy and the terms of the agreement existing between Relay2 and that Customer. Relay2 assumes no responsibility for any treatment of such information. If you have any question or concern about the treatment of information transmitted to a Relay2 Customer using Relay2 Products, please contact that Relay2 Customer directly. Customers cannot access information Relay2 collects or processes on behalf of other Customers unless those Customers have entered into a separate agreement with us relating to information sharing.
Data Collection
Relay2 collects data in various ways through its Products and Services, including your use of this Site. This includes data collection on behalf of our Customers. For certain of our Products, Relay2 enables our Customers to allow users to log into networks that are enabled using the Users’ social network login credentials. In these instances, Users will be provided with information from their social network about the implications of connecting to the network using their social network login credentials, and will have the opportunity to choose whether to provide certain information through the network enabled with Relay2 Products or Services. This information may include the name, gender, birthday, contact information, login source, and other information relating to a user that the user’s social networks may provide to Relay2 or our Customer under the terms of service for each social network and the user’s individual privacy settings. You should review your privacy settings for each of your social network accounts to determine what information may be provided to Relay2 or our Customers. The information collected from social networks is used for user validation and verification and may also be used or combined with other data and shared or disclosed according to the terms of the Customer’s privacy policy or this Privacy Policy.
Relay2 Customers may also collect information about your online activities when using those Customers’ networks that are enabled with Relay2 Products or Services. Relay2 Customers, depending on the nature of their business, may also use Relay2 Products or Services to collect and use information that is subject to regulation under applicable data protection, privacy, or security laws. This information is also subject to the privacy policies of Relay2’s Customers.
Data Use
Relay2 does not access, analyze, share, sell, or otherwise use or transfer any Personal Information that it collects on behalf of any Customer unless specifically authorized to do so by that Customer or by this Privacy Policy. Relay2 may process information on the behalf of its Customers to provide them with analytics data, usage information, and other information or data for the Customers to use for their business purposes.
In addition, Relay2 may extract deidentified or aggregated information from the information sent to Relay2 Customers using Relay2 Products or Services; any time we collect, use, or share that deidentified or aggregated information it will be subject to the terms of this Privacy Policy. If a Relay2 Customer provides Personal Information to Relay2 for Relay2’s use, Relay2 will also treat that information as Personal Information under this Privacy Policy.
Data Retention
If you have provided data to a Customer, the retention of that data is subject to the Customer’s privacy policy and not this Privacy Policy, except as described below. If you wish to amend, delete, or otherwise access data provided to a Customer through Relay2’s Products or Services, you will need to contact the Customer directly.
Relay2 will retain Personal Information we collect or access under this Privacy Policy, or process on behalf of our Customers, for as long as needed to provide services to our Customer, and will retain and use this Personal Information beyond that point as necessary as permitted under this Policy or to comply with legal obligations, resolve disputes, and enforce our contractual relationships.
Generally Applicable Relay2 Privacy Practices
The following describes Relay2’s practices that are applicable to the collection, access or use of data by Relay2 for its own business purposes as well as to Relay2’s collection, access or use of data on behalf of our Customers.
How Relay2 Protects Information
Relay2 uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your Personal Information. Guidelines Overview
The Trademark Usage Guidelines (“Guidelines”) are intended solely for Relay2 licensees, authorized resellers, developers, customers, and other parties wishing to use Relay2’s name, logo, trademarks, service marks, trade names and other marks (“Marks”) in promotional, advertising, instructional, or reference materials, whether on their web sites, products, labels, or packaging. All usage of Relay2 Marks are prohibited, unless expressly authorized.
If you are a licensee of Relay2 Marks and have been provided with special trademark usage guidelines with your license agreement, please follow those requirements. If your license agreement does not provide usage guidelines or refer to this document, then follow these Guidelines.
Relay2’s Marks are valuable assets. In following these Guidelines, you help us protect our valuable trademark rights and strengthen our corporate and brand identities. By using a Relay2 Mark, in whole or in part, you are acknowledging that Relay2 is the sole owner of the Mark and promising that you will not interfere with Relay2’s rights in the Mark, including challenging Relay2’s use, registration of, or application to register such Mark, alone or in combination with other words, anywhere in the world, and that you will not harm, misuse, or bring into disrepute any Relay2 Mark. Authorized Use of Relay2 Trademarks
Promotional Usage. Only Relay2 and its authorized resellers and licensees may use the Relay2 Marks in advertising, promotional, and sales materials. Such authorized parties may use the Relay2 Marks only as specified in their agreement with Relay2 and any associated Guidelines and such use must always be in conjunction with the appropriate terms that define the relationship authorized by their contract with Relay2. For example: Authorized Resellers, Authorized Value Added Resellers, Authorized Manufacturer, and Authorized Value Added Distributors.
Standards of Usage. The Marks are the intellectual property of Relay2 and therefore are considered our corporate assets. To ensure the Marks are neither diluted nor infringed, your use of the Marks (and our permission) is conditioned on your adherence to the following rules:
- Always use a Mark as an adjective;
- A trademark attribution notice must be included in the credit section giving notice of Relay2’s ownership of its trademark(s) in the following form: “__ [insert Mark] __ is a [registered] trademark of Relay2 Networks, Inc., in the United States and in other countries.”
- Always use the proper trademark symbol in superscript or subscript. If superscripts and subscripts are not available or practical for use, use parentheses: (TM) or (R);
- Do not hyphenate, misspell, abbreviate, pluralize, change the word sequence, or combine or break apart words of a Mark;
- Do not use a Mark in a manner that can reasonably be construed to mean or imply either an authorization by, affiliation with or an endorsement by Relay2, without our express written permission of the specific affiliation or endorsement;
- Do not use a Mark in a way that suggests a false association with Relay2;
- Do not adapt, alter, or modify in any way any Mark;
- Do not use the Marks in a manner that is likely to dilute, defame, disparage or harm the reputation of Relay2, or our products, services, partners, vendors, customers, employees or affiliates;
- Do not display the Mark on any site that disparages Relay2 or our products, services, partners, vendors, customers, employees or affiliates;
- Do not use or imitate any slogans of Relay2;
- Do not use the Marks in a manner that is likely to infringe any Relay2 intellectual property or other rights of a third party, or violate any state, federal, or international law; or
- Do not use the Marks in a manner that is likely to offend or dilute, defame, disparage or harm the reputation of third parties.
We reserve the right to revise these Guidelines from time to time, without notice, and at any time to suspend or deny your further use of the Marks. We also reserve the right to require you to resize, move, or remove the Marks for any reason whatsoever.
